Franchise Operations Manuals in Guatemala
Turn your business know-how into a clear, updatable operations manual that aligns with your franchise agreement in Guatemala.

A business that relies on daily instructions from its founder still has know-how to transfer. To franchise it, you need to turn that experience into procedures that someone else can carry out and supervise. An operations manual serves this purpose: it allows you to share standards across the franchise network without making every new operator learn through mistakes.
1. Document decisions, not just tasks
Start with the processes that have the greatest impact on quality, finances and safety. Do not try to describe the entire business at once. Arrange the content around the operational workflow: opening, receiving supplies, serving customers, fulfilling orders, taking payment, closing and handling incidents.
For each procedure, record:
- Objective: the result to be achieved.
- Responsibility: who carries out the procedure and who checks it.
- Resources: the materials, tools and documents required.
- Sequence: the steps in their actual working order.
- Acceptance criteria: how to recognise a satisfactory result.
- Exceptions: what to do when something goes wrong and whom to consult.
- Evidence: which supporting documents or records must be kept.
For example, ‘check the delivery’ is not enough. The procedure should explain how to compare quantities, identify damage, record discrepancies and decide whether to accept or reject the delivery. Do not invent tolerances simply to complete the document: use technical criteria and requirements applicable to the product.
Interview the people who carry out the tasks, too. Often, the details that prevent mistakes come from the team's experience rather than the owner's knowledge.
2. Separate common standards from site-specific requirements
The manual should distinguish between what protects the business's identity and what may vary by location. Product presentation or complaint handling may require consistency, while delivery times for suppliers may need to be adapted.
Organise the content into three layers:
- Mandatory standards: the brand's essential outcomes and practices.
- Adaptable procedures: aspects that may be adjusted through a defined approval process.
- Local appendices: permits, contacts, emergency routes and conditions specific to the premises.
In Guatemala, do not assume that requirements in one municipality will be identical to those in another. Explicitly assign responsibility for identifying, applying for and maintaining municipal permits, health permits and any other authorisations required for the activity. The manual helps you manage this work, but it does not replace the authorisations themselves.
Include a checklist showing the person responsible, the expiry date where applicable and where the supporting document is kept. Avoid presenting internal brand policies as legal requirements.
3. Align the manual with the agreement and applicable law
Guatemala does not have a comprehensive law specifically governing franchising. A franchise agreement is treated as an atypical commercial contract: it is governed by the Commercial Code, Decree 2-70, with the Civil Code, Decree-Law 106, applying on a supplementary basis. The Industrial Property Law, Decree 57-2000, governs matters such as trade marks and licences to use them.
There is also an express reference to franchising: Article 27 of the Regulations implementing the Industrial Property Law, Government Agreement 89-2002, refers to Article 45 of that law for a trade mark licence contained in a franchise agreement, unless the contract provides otherwise. This does not amount to comprehensive regulation of the franchise model.
With local legal advice, specify in the agreement how the manual is incorporated, when it is provided, who may access it and what confidentiality obligations apply. Also define how updates will be communicated and the time allowed for implementing them.
The manual must not become a means of unilaterally changing any financial term. An update requiring new equipment or substantial investment needs clear contractual provisions. Royalties, fees and territorial rights should be defined in the agreement, not hidden among operational instructions.
The Guatemalan Franchise Association requires an operations manual as part of its membership criteria for franchisors. This is an association membership condition, not a general legal requirement to join.
4. Test clarity and maintain version control
Give a procedure to a trained person who was not involved in writing it. Ask them to carry it out without additional explanations from the founder. Observe where they hesitate, what they interpret differently and what information is missing. This test assesses the document's clarity; it does not replace training.
Correct ambiguous instructions and add photographs, diagrams or forms where these make the procedure easier to follow. Each procedure should display its code, version, approval date and the person responsible for updating it.
Keep an official version accessible and remove outdated copies from day-to-day use. Record the distribution of updates and check that they have been understood; an acknowledgement of having read an instruction does not prove that someone can apply it.
Protect confidential know-how through role-based access and confidentiality commitments. When the relationship ends, follow the agreed provisions for returning materials and revoking access.
To get started: choose one critical process, document it using this structure and check that another person can carry it out. A useful manual is built on instructions that can be tested, not on a growing page count.
