Operations manual: how to document your business before franchising
Turn your business know-how into clear instructions, with assigned responsibilities, version control and rules aligned with the franchise agreement.

A business that works because the owner answers every question still relies on knowledge that is difficult to pass on. Before bringing franchisees on board, you need to turn that experience into guidance other people can follow. Across a franchise network, an operations manual helps maintain quality and makes support easier to deliver. Its value lies in the clarity of its instructions, not its page count.
1. Map decisions, not just tasks
Start with the processes that have the greatest impact on the customer experience, cash flow and operational safety. Opening and closing, customer service, purchasing, receiving goods, delivering services and handling complaints usually deserve priority.
Observe the people carrying out these activities in your existing business. Ask them to explain what they do, why they do it that way and when they need to consult the owner. Their answers will reveal decisions that a simple task list cannot capture.
For each process, record:
- Trigger: when the activity should begin.
- Responsibility: which role carries it out and which checks it.
- Sequence: the necessary steps, in the correct order.
- Expected standard: how to recognise that the task has been carried out properly.
- Exceptions: when to stop, take corrective action or ask for guidance.
- Evidence: which record demonstrates completion.
When receiving goods, for example, simply writing “check the delivery” is not enough. Explain which documents to compare, how to check the condition of the products and what to do if there are discrepancies. Where health or technical requirements apply, use criteria relevant to the activity and validated by an appropriately qualified professional.
2. Write for someone who does not yet know the business
Organise the material into short modules that people can access according to their role and needs. A manager may need financial guidance that is not part of a customer service assistant’s daily work. Separating the content also makes training and updates easier.
Use direct verbs and avoid vague expressions such as “act quickly” or “keep everything organised”. Define the expected behaviour, the checking criteria and where to turn with questions. Reference photographs, flowcharts and checklists can supplement the text, but should not replace essential instructions.
A complaints procedure, for example, should explain how to record the complaint, which remedies the outlet is authorised to offer and when to contact the support team. It must also respect consumer rights: an internal rule cannot remove legal obligations.
Distinguish mandatory standards from recommendations. Visual branding may require consistency, while certain administrative arrangements may allow equivalent alternatives. This distinction prevents inconsistent enforcement and preserves the franchisee’s autonomy as a business owner.
Next, give the procedure to someone who was not involved in writing it. Ask them to explain the sequence and, where safe, carry out the activity under supervision. Record their questions and any points open to interpretation. If the instructions depend on improvised explanations from the founder, they still need revising.
3. Align the manual with the franchise obligations
In Brazil, Law No. 13,966/2019, the Franchise Law, governs business franchising relationships and replaced Law No. 8,955/1994. Article 2 requires the franchise disclosure document, known locally as the Circular de Oferta de Franquia (COF), to state what the franchisee will be offered in terms of manuals, as well as support, supervision and training, among other matters.
The COF must be provided at least ten days before the franchise agreement or preliminary agreement is signed, or any fee is paid to the franchisor or a person or company connected with it. The manual does not replace this disclosure or remedy promises that conflict with the agreement.
Before making the material available, arrange a joint review by the operational and legal teams. Check that the support described is actually available, that the required equipment is consistent with the stated investment and that responsibilities are consistent across the documents.
The agreement should address access to the manuals, confidentiality and the process for updating them. Avoid using operational revisions to introduce charges or material obligations that have not been provided for. Changes with a financial impact require a specific assessment, appropriate communication and compliance with the agreed terms.
4. Decide who updates the manual and how to verify implementation
Assign someone responsibility for each module and maintain an official version in an access-controlled system. Include the date, version number, approval details and a summary of changes. Keep a version history so you can establish which guidance was in force at any given time.
When updating a procedure, explain why it is changing, who will be affected and when the change takes effect. Assess whether training, purchases of materials or a transition period are needed. Do not assume that making a file available means everyone has understood the update.
Monitor implementation through training records, checks proportionate to the risk and questions received by the support team. Recurring errors may indicate unclear instructions, not just failures to follow them. Draw on experience across the franchise network to improve the material using consistent criteria.
Put it into practice: choose one critical process, document its decisions and exceptions, test understanding and assign responsibility for reviewing it. Build the manual from that model, rather than starting with a lengthy, generic document.
