Negocios del Café seeks debt restructuring in Málaga
The Burger King and KFC franchisee is seeking court approval for a plan with no debt write-offs which, the company says, will not affect its restaurants.

Negocios del Café, a Burger King and KFC franchisee, has submitted a plan to Málaga’s Commercial Court to restructure certain financial debts of its holding company. The company says the proposal involves no debt write-offs and that its restaurants will continue operating as normal, according to information published by Moncloa.com on 27 October.
A proposal focused on repayment dates
The plan has been submitted for court approval and aims to extend the repayment terms of the debt concerned. According to the company, the proposal provides for full repayment of that debt, over longer periods and at market interest rates.
Corporate finance director Paloma Artigas says the company ‘is neither currently insolvent nor facing imminent insolvency’. She describes the purpose of the proposal as ‘rescheduling the holding company’s financial debt’ with the investment funds that hold that debt and with other group companies.
The finance director links the revised timetable to the need to ‘align repayment dates with projected cash generation’. The company’s stated proposal therefore focuses on when payments will be made, without seeking a reduction in the principal owed.
The company has not disclosed the amount of debt covered by the plan. It argues that the proposal concerns only certain financial debts and that a consolidated figure would not reflect the scope of the transaction. The information available therefore does not establish the precise amount being restructured.
The holding company and the restaurants are distinct
For the franchise sector, the key distinction in the announcement is between the holding company and the businesses that run the restaurants. According to Negocios del Café, the plan affects only the holding company that owns the operating companies, not the restaurants themselves.
The group operates 62 Burger King restaurants in Andalusia and 28 KFC outlets across Andalusia and Valencia. The published report identifies Negocios del Café as Burger King’s largest franchisee in Andalusia.
The company says operations under both brands are unaffected and that the companies owning the restaurants will continue to operate as normal. It also states that the plan does not affect employees, suppliers, financial institutions or franchisors.
These statements define the scope the company attributes to its proposal. The announcement concerns changes to certain financial obligations of the holding company, rather than a restructuring of restaurant operations. The assurances about operational continuity should be understood in that context and as statements made by the company itself.
Court approval is still pending
Submitting the plan does not mean it has been approved. Based on the stage of proceedings described in the published report, Málaga’s Commercial Court has yet to rule on the application for approval.
The company says it aims to strengthen the group’s solvency and support the operating companies’ business plans. These are the stated objectives of the application, not outcomes already demonstrated by the restructuring.
The undisclosed debt amount and pending court decision limit what is known. For now, the information released identifies the type of debt concerned, the intention to repay it in full and the proposed separation between the holding company and restaurant operations.
What the franchise sector should watch
The case puts corporate structure and financing schedules at the centre of the story. To assess its implications, it is important to distinguish between the holding company’s debt, the operating companies’ obligations and the restaurants’ day-to-day continuity.
The next milestone will be the court’s decision on approval. Until then, the proposal should be described as a submitted plan, without assuming it will be accepted or attributing effects to it that have not yet been confirmed.
Practical takeaway: when assessing a franchise group’s restructuring, check which company is affected, which debts the plan covers and what stage the proceedings have reached.
