CCI approves Sapphire–Devyani merger

CCI approves Sapphire–Devyani merger

The Competition Commission of India (CCI) has approved the merger of Sapphire Foods India Limited into Devyani International Limited and the associated transactions. According to a Press Information Bureau release dated 31 October 2026, the proposed combination covers this transaction between the two companies. The development is directly relevant to India’s franchise sector: both Sapphire and Devyani operate KFC and Pizza Hut franchise outlets in the country.

What the approval covers

The CCI’s approval covers the proposed merger of Sapphire into Devyani and the related transactions. This news therefore concerns a proposed combination of existing franchise operators, rather than a new restaurant opening or an overseas brand entering India.

It is important to distinguish between regulatory approval and completion of the merger. The official announcement confirms clearance from the competition regulator; it should not, in itself, be treated as confirmation that the merger has been completed or that operating arrangements across all outlets have changed immediately.

This distinction has practical significance for anyone assessing the franchise business. Regulatory clearance for a deal and the implementation subsequently announced by the companies are separate milestones. In this case, the confirmed development is CCI approval. Any conclusions about future operating arrangements should be based on explicit announcements from the companies.

How both companies are connected to KFC and Pizza Hut

Devyani operates KFC and Pizza Hut franchise outlets across India. Sapphire also operates franchise outlets for both brands in India. These shared brand relationships mean the proposed merger directly concerns two operators whose businesses include the same international restaurant brands.

It is also important to distinguish between a brand and its franchise operator. Customers see the KFC or Pizza Hut name on a restaurant, but the companies involved in this transaction are Sapphire and Devyani. It would be incorrect to interpret the news as a merger between the international brands themselves.

Nor does the announcement say that the approval creates new opportunities for individual franchisees. Prospective investors should distinguish between a company’s corporate transaction and the right to open an outlet at a particular location. The availability of any opportunity should be confirmed with the relevant authorised company.

Devyani’s portfolio extends beyond two brands

According to the official statement, Devyani is also the sole franchisee for Costa Coffee, New York Fries and Sanook Kitchen in India. It also owns and operates its own brands. Its business therefore extends beyond operating KFC and Pizza Hut outlets.

This information helps put the proposed combination in context. While both companies operate KFC and Pizza Hut outlets, Devyani also has a portfolio of other franchise brands and its own brands. Taken together, these details clarify the roles of the companies involved in the transaction.

However, the reference to Devyani’s other brands does not amount to an announcement of changes to their franchise rights. Equally, this approval alone does not establish plans to expand any brand into new cities, open a particular number of outlets or offer new investment opportunities. Such developments would require separate, explicit announcements.

What the franchise sector should bear in mind

The most useful approach to this development is to keep three things separate: the brand name, its franchise operator and the status of regulatory approval. In this instance, approval has been granted for a combination of two companies involved in the brands’ Indian operations. That is the confirmed basis of the news.

For prospective partners and other business stakeholders, the next step should be to follow further official updates from the relevant company, rather than make decisions based on assumptions. Correctly identifying the company is particularly important when checking contracts, authorised contacts and proposed business relationships.

Practical takeaway: Treat CCI approval as a regulatory milestone in the Sapphire–Devyani combination. Before making an investment or partnership decision, seek official confirmation of the merger’s implementation and the relevant franchise rights.
