Franchise advertising funds: rules and reporting

How to organise a franchise network’s advertising fund: permitted expenditure, responsibilities, financial reporting and contractual rules.

Franchise advertising funds: rules and reporting

When you turn an existing business into a franchise network, advertising takes on a different role: you are no longer spending solely on your own shop, but may also be managing money contributed by independent business owners. If you plan to introduce a shared advertising contribution, you need to clarify how it will be used and accounted for before collecting it. This guide covers fund management, rather than calculating royalties or choosing campaigns.

1. Define what the contribution will fund

The first step is to separate three areas that are often confused: promoting the shared brand, local advertising by franchisees and recruiting new franchisees. These have different audiences and purposes, so they should not automatically be funded from the same pot.

Prepare a document setting out permitted expenditure, excluded expenditure and the conditions for any exceptions. For example, the fund might cover consumer-facing campaigns, photography for use across the network and reusable promotional materials. Make an explicit decision on how to treat the central website, agency fees and work carried out by in-house staff.

Recruiting new franchisees primarily supports the franchisor’s expansion: do not present it as routine advertising expenditure benefiting franchisees’ customers. If you intend to allocate part of the contribution to recruitment, you need a clear provision, reviewed with your legal adviser and explained before franchisees join.

Also distinguish the fund from mandatory launch expenditure for individual outlets. The same activity must not be charged for twice under ambiguously worded headings.

2. Turn your decisions into contractual rules

In Italy, franchising is governed by Law No. 129 of 6 May 2004, which regulates franchise arrangements. Article 3 requires the agreement to be in writing, failing which it is void, and specifies mandatory content, including investment requirements, any initial fees, royalties and the nature of the support provided.

The law neither establishes a mandatory advertising fund nor prescribes a general reporting template for one. If you introduce a fund, its rules therefore need to be set out precisely in the agreement and any appendices incorporated by reference. Matters not covered by the specific legislation are subject to general contract law, including the principle of good faith.

Make sure the rules specify at least:

  • who must pay the contribution and when;
  • which purposes and categories of expenditure are permitted;
  • who approves the advertising programme;
  • what information franchisees will receive and when;
  • how unspent funds, variances and the end of the franchise relationship will be handled;
  • the conditions under which the arrangements may be changed.

Article 4 requires prospective franchisees to receive a complete copy of the agreement and the appendices required by law at least thirty days before signing. Any contribution rules forming part of the contractual documentation must therefore be available at that stage, rather than appearing in an operational notice after the agreement has been signed.

3. Establish responsibilities and an audit trail

Calling it a “fund” is not enough: you need to establish who will manage it. Appoint a programme manager and an accounting contact, and put an expenditure approval procedure in place. In smaller organisations, one person may fulfil several roles, but quotations, approvals and invoices must remain traceable.

Work with your accountant to choose a recording method that distinguishes contributions and expenditure from the franchisor’s other transactions. A dedicated bank account can help, but it is no substitute for orderly accounting and should not be presented as a general requirement under Italian franchise law.

Be particularly transparent when buying services from companies connected to the franchisor: describe the service, document the amount charged and disclose the relationship between the parties. Internal costs charged to the fund must also be based on understandable criteria, rather than treated as a catch-all category.

You can consult a group of franchisees on priorities, but make clear whether their role is advisory or decision-making. Involvement in decisions strengthens the network; leaving decision-making authority undefined creates conflicting expectations.

4. Prepare a clear financial report before collecting contributions

Design the reporting template while the fund is still empty. It should show the opening balance, contributions received, expenditure by category, commitments already made and the closing funds available. If some contributions remain unpaid, distinguish them from money actually available to spend.

Alongside the figures, provide a brief explanation of the activities carried out and any departures from the programme. If a campaign has been postponed, explain how the remaining funds will be handled under the agreement.

Do not confuse financial reporting with a promise of commercial results. Visibility, enquiries and sales are different measures, and a shared campaign does not guarantee identical benefits for every outlet. Explain the criteria for allocating expenditure geographically, particularly where it covers only certain areas.

Immediate action: before requesting the first contribution, complete three consistent documents: the contractual rules, the expenditure plan and the reporting template. If an item cannot be clearly explained in all three, resolve it before collecting any money.
