Buying a Franchise in Egypt: Can You Recover Your Reservation Payment Before Signing?

Buying a Franchise in Egypt: Can You Recover Your Reservation Payment Before Signing?

A franchisor may ask you to pay to reserve a franchise opportunity before providing the final contract or completing due diligence on the business. This creates a risk separate from whether the outlet succeeds: are you paying for a specific service, advancing part of the franchise fee, or paying a deposit with particular legal consequences? In Egypt’s franchise market, describing a payment as an ‘initial reservation’ does not guarantee a refund. You need a written agreement explaining what you are paying for now and when your money will be returned if the deal does not proceed.

1. Understand the nature of the payment before transferring it

Ask for a document specifying the purpose of the payment, who will receive it and what obligations they undertake in return. The sum could be an advance payment credited against the franchise fee, a fee for assessing your application, or an earnest-money deposit linked to a right to withdraw from the agreement. These are not interchangeable descriptions, and their meaning should not be left to resolve when a dispute arises.

Egyptian civil law contains an important rule on earnest-money deposits: as a default, a deposit paid when a contract is concluded gives both parties the right to withdraw, unless they agree otherwise. If the payer withdraws, they forfeit the deposit; if the recipient withdraws, they must repay twice its value. Whether this rule applies to a reservation payment depends on the substance and circumstances of the agreement, not simply the payment reference. Do not assume that every payment is refundable or that every advance payment constitutes an earnest-money deposit.

Ask in writing: does the franchisor commit to reserving the opportunity for you for a specified period? Will it stop accepting competing applications for that opportunity? What happens if you agree to proceed but the franchisor rejects you? If it can retain the money without taking on a clear obligation, ask for the agreement to be revised to clarify what you receive in return and when the payment may be retained.

2. Do not assume there is an automatic statutory cooling-off period

Egypt has no comprehensive standalone franchise law, nor a general franchise-specific regime requiring a standard disclosure document or registration of franchise agreements with a dedicated regulator. You should not assume that a mandatory 14-day period to review the offer or recover payments applies simply because the transaction involves a franchise.

The relationship is governed by general legal rules, including Civil Code No. 131 of 1948 and Commercial Law No. 17 of 1999, depending on the nature of the agreement. Intellectual Property Rights Protection Law No. 82 of 2002 applies where the transaction involves trade marks and protected know-how. If the arrangement qualifies as a technology transfer, specific obligations may arise, including certain disclosure requirements. The absence of a standalone franchise law does not mean there are no legal duties to disclose information.

For the reservation payment, ask for an express contractual review period that starts once you have received the agreed documents, rather than when you transfer the money. Specify whether you may withdraw during that period without giving a reason or only in defined circumstances. The reservation agreement itself may create binding obligations even if you have not signed the final franchise agreement, so do not treat it as an administrative formality without legal consequences.

3. Turn a refund promise into enforceable terms

The phrase ‘the payment is refundable if the deal does not proceed’ sounds reassuring, but leaves a crucial question unanswered: why did it not proceed, and who must prove the reason? It is better to distinguish between different situations and specify the consequences of each, rather than leave the decision entirely to the franchisor.

Ask for the agreement to address at least the following:

  • The franchisor rejects your application: will the full amount be refunded, and by what deadline?
  • Documents are not provided: may you withdraw if the agreed deadline passes without receiving them?
  • The final offer changes: what happens if the fees or material obligations differ from the offer on which you based your payment?
  • An agreed condition is not met: for example, financing approval, if you have expressly made this a condition for proceeding with the deal.
  • You choose to withdraw: will you receive a full refund, or will a specified, agreed charge be deducted?

If the franchisor insists on deducting expenses, specify the permitted categories, a cap, the supporting evidence required and whether your prior approval is needed. Avoid allowing deductions for ‘all administrative costs’ without defining them. Distinguish between fees due for a service actually delivered and the balance held pending the franchise agreement.

Also specify how to submit a refund request, the deadline for transferring the refund and the account to which the money must be returned. If you proceed with the purchase, the amount credited against the franchise fee must be clear, so that you do not pay twice for the same thing.

4. Keep a payment file and test a withdrawal scenario

Before transferring the money, retain the signed reservation agreement, the financial offer, correspondence explaining the payment’s purpose, the recipient’s details and proof of payment. Do not rely on a salesperson’s verbal assurance that ‘management usually refunds payments’, or treat a payment receipt as a substitute for refund terms.

Put a simple scenario to your lawyer: you pay today, then receive a contract whose terms you cannot accept. Can you withdraw? How much will you recover? Which document establishes your entitlement? If the answer depends on fresh approval from the franchisor, your protection is not yet complete.

The practical takeaway: do not pay for an undefined reservation. Set out the nature of the payment, the review period, the circumstances allowing a refund, permitted deductions and the refund deadline in a written agreement before the money leaves your account.
