Reserving a Franchise in Belarus: Terms to Agree Before Payment
How business owners can arrange a reservation for a prospective franchisee, covering its duration, refund terms and the limits of each party’s obligations before the main agreement.

A candidate is ready to open an outlet but is still choosing premises or arranging finance. The business owner offers to let them ‘reserve the franchise’ in return for a payment. Without clear terms, this arrangement can create conflicting expectations: one party believes the territory has been secured, while the other sees it merely as a sign of serious interest. A sustainable franchise sector depends on defining in advance exactly what a reservation means and how it differs from granting a franchise.
1. Define exactly what you are reserving
Before preparing any documents, establish the commercial purpose of the reservation. It might mean that the business owner temporarily agrees not to negotiate with other candidates for a particular address, or that the candidate has priority in entering into an agreement until an agreed date. These are not equivalent: priority alone does not prohibit discussions with other entrepreneurs.
Do not use wording such as ‘the city is reserved’ without explaining what it means. Specify what the arrangement covers: the address of the proposed outlet, a defined territory or the opportunity to open one outlet in an agreed format. If premises have not yet been found, explain how their selection will affect the reservation and which circumstances will require fresh agreement.
Prepare a short internal reservation record covering:
- who the candidate is and who is handling the negotiations;
- exactly what is being held for the candidate temporarily;
- which actions the business owner undertakes not to take;
- when the reservation starts and ends;
- what event should lead to the signing of the main agreement.
It is better to set a specific expiry date than to use wording such as ‘until the premises are ready’. Otherwise, the reservation may drag on, leaving the business owner unable to discuss opening an outlet with other partners. Document any extension separately, with a new date and a clear reason.
2. Do not use a reservation as a substitute for a franchise agreement
Belarus has no standalone franchising law, but it does have specific statutory provisions: franchise relationships are governed by Chapter 53 of the Civil Code of the Republic of Belarus, ‘Comprehensive Business Licence (Franchising)’. Article 910 defines an agreement under which a rights holder grants a user a package of licensed rights for business purposes in return for payment.
Article 910-1 requires the agreement to be in writing and registered with the patent authority, the National Centre of Intellectual Property. An unregistered franchise agreement is invalid. A reservation agreement therefore cannot be used to grant a franchise in practice without meeting these requirements.
The word ‘reservation’ does not determine a document’s legal nature. Depending on its content, it may establish a framework for negotiations, an obligation to enter into an agreement in the future or separate preparatory services. The Civil Code’s general provisions on contracts and obligations are relevant to such commitments. A Belarusian lawyer should review the arrangement based on what the parties actually do, not merely the document’s title.
State separately what the reservation does not grant: the right to open an outlet under the brand, use the know-how to be transferred or present oneself as an existing franchisee. If the candidate wants to put up signage or advertise the opening in advance, permission to use the relevant branding must be addressed separately. A reservation payment does not, in itself, grant that permission.
3. Make clear what happens to the payment
A reservation does not have to involve a fee. If its purpose is to give the candidate time to assess premises, a short reservation period and an agreed list of actions may be enough. A payment is worth discussing only once both parties understand its purpose.
Do not describe the same sum interchangeably as a ‘deposit’, ‘earnest money’ and an ‘advance payment’. These terms may have different legal consequences. The document should define the basis for the payment, what the business owner undertakes to do in return and how payments will be settled when the reservation ends. Agree the appropriate legal classification with a lawyer.
Address at least the following situations:
- The main agreement is signed. State whether the sum will be credited towards the fees payable under that agreement and how this will be reflected in the payment arrangements.
- The candidate withdraws. Define the notification procedure and the conditions for refunding or retaining the sum, as permitted under the chosen contractual structure.
- The business owner withdraws. Set a deadline for settling any amounts due to the candidate and specify the consequences of ending the arrangement.
- The premises prove unsuitable or finance is not secured. Clarify whether the reservation ends, whether the search period is extended and what happens to the money.
If assessing the premises or carrying out other preparatory work attracts a separate fee, describe the deliverable and its cost separately from the reservation. Do not retrospectively justify retaining the entire sum as ‘consultancy expenses’ for services the candidate did not commission. Also specify how a refund request should be submitted and the deadline for responding to it.
4. Integrate reservations into the negotiation process
Even a carefully drafted document will not help if two managers simultaneously promise the same address to different candidates. Introduce a single register of active reservations. A spreadsheet listing what is reserved, the candidate, the reservation period, payment status and the employee responsible is sufficient. Only a clearly defined group of people should be authorised to change a reservation’s status.
Before accepting money, send the candidate the reservation terms and a draft of the main agreement. This is a practical safeguard against someone paying first and only then discovering significant restrictions on the future relationship. Do not present a reservation as a guarantee of profitability, approval of the premises or an unconditional right to open an outlet.
When the reservation period ends, confirm the outcome in writing: proceeding to the main agreement, an agreed extension or termination of the reservation with settlement of any amounts due. Keep the document, proof of payment and correspondence about changes to the terms together in the candidate’s file.
Practical takeaway: before first offering to let someone ‘reserve a franchise’, prepare the reservation terms, payment and refund rules, and a central register. A reservation should govern the negotiation period, not replace a registered franchise agreement.
